Contractual ipso facto clauses in the event of insolvency are void under German Law.

Janina Grasser deals with the newest developments and aspects of this insolvency law issue.

The book not only covers the academic perspective, but particularly focusses on the latest decisions of the German Federal Court of Justice. The Court recently ruled on the invalidity of ipso facto clauses in energy supply contracts, construction contracts as well as close-out netting provisions. Further, she analyses the impact of these decisions on other clauses and types of contracts, such as the ISDA Master Agreement 2002 and the EFET-Agreements.

Due to the latest German jurisprudence, and on the basis of a comparative law analysis taking into account the law of France, England and the United States, the author comes to the conclusion, that a final solution on ipso facto clauses has to be found by the German legislator.

In addition, conflict-of-laws implications regarding the invalidaty of ipso facto clauses in cross border cases involving Germany and France, England and the United States are examined.

This book can be recommended not only for practitioners drafting contracts and thus dealing with the validity of ipso facto clauses, but also academics – all the more considering the topicality of the subject.
