The German laws on co-determination prescribe a comparatively high level of employees' participation. Depending on the number of employees, the employees have the right to appoint at least one third or even half of the members of the supervisory board of the relevant company. These laws on co-determination are linked to German legal forms of companies. They do not apply to foreign or supranational companies. Therefore, the German regime on co-determination will be endangered if German companies are merged on foreign or supranational companies.

This work shows to which extent a cross-border merger can exclude German companies from the German standards of co-determination and to which extent the co-determination is protected against a respective „misuse“ of a cross-border merger.

For this purpose, first of all the general admissibleness and types of cross-border mergers are elaborated. Subsequently, the work examines which rules apply with respect to co-determination and under which conditions employees might be deprived of rights under German co-determination or such rights might be withheld. Finally, the protection against a misuse of the cross-border merger in individual cases is investigated. In doing so, the work firstly clarifies under which circumstances a „misuse“ is given. Ultimately, possible sanctions regarding the misuse and their relationship are examined.
